Terms & Conditions of Sale

Last updated: 6 August 2026. These terms apply to business customers buying for commercial use or resale. Cochin Wood Industries does not sell to consumers.

These terms govern the supply of goods by Cochin Wood Industries Private Limited, CIN U20219KL2021PTC072862, GSTIN 32AAJCC9689H1Z5, 146/A, Thoppilan Building, Thuruthy, Kunnathunad Taluk, Kuruppampady, Ernakulam, Kerala 683545, India. They apply to every quotation, proforma invoice and order unless we have signed a separate written agreement with you.

1. Business-to-business supply

We supply industrial quantities of plywood, panel products, sawn timber and wooden packaging to businesses for commercial use or resale. This website does not operate a shopping cart, take online payment or display purchase prices. Nothing on it is an offer to sell. All prices are given by written quotation.

2. Quotations and how an order is formed

  • A quotation is valid for 15 days from its date unless it states otherwise, and may be withdrawn or revised before you accept it.
  • Timber and resin prices move. Where a quotation is expressed as subject to confirmation, the price is fixed only when we issue the proforma invoice.
  • An order becomes binding when we issue a proforma invoice and you pay the advance stated in it.
  • Where documents conflict, this order applies: a signed contract, then the proforma invoice, then the quotation, then these terms.

3. Specification and tolerances

  • Goods are supplied to the grade and standard stated on the proforma invoice. Where a standard is named, that standard defines conformity.
  • Natural material. Variation in colour, grain and figure between sheets, and between an order and a sample, is inherent to wood and is not a defect.
  • Quantity tolerance. Because loads are made up to container and vehicle weight limits, we may deliver up to 5% more or less than the ordered quantity. You are invoiced for the quantity actually delivered.
  • Samples indicate type and grade. They are not a guarantee that bulk will match a sample exactly.

4. Prices and taxes

  • Prices are exclusive of GST and any other tax, duty or levy, which is charged in addition at the rate in force on the date of invoice.
  • Prices are for the Incoterm stated on the proforma invoice. Any cost outside that Incoterm, including destination charges, import duty, demurrage and detention, is yours.

5. Payment

  • Standard terms are 50% advance with order and the balance before dispatch. Made-to-order and custom-fabricated goods are 100% advance.
  • Payment is by bank transfer (T/T). We do not supply on open account.
  • Bank charges outside India are yours.
  • Time for payment is of the essence. We may suspend production or dispatch while any sum is overdue.
  • Interest on late payment. Cochin Wood Industries is a micro enterprise registered under the Micro, Small and Medium Enterprises Development Act 2006. Where that Act applies to a supply, payment falls due within the period it prescribes and delayed payment carries interest at the rate that Act lays down. In any other case, overdue sums carry interest at 1.5% per month, or part month, from the due date until payment.
  • Goods remain our property until we have received payment in full, even where risk has already passed to you.

6. Delivery, title and risk

  • Delivery terms are as stated on the proforma invoice, interpreted under Incoterms 2020. Our usual export term is FOB Cochin.
  • Risk passes at the point specified by the agreed Incoterm. Title passes on receipt of payment in full.
  • Delivery and production dates are estimates given in good faith. Time is not of the essence unless a firm date is agreed in writing on the proforma invoice.
  • We may deliver in instalments. A delay or defect in one instalment does not entitle you to cancel the rest.
  • Once goods are placed at your disposal or at the carrier's, storage, demurrage and detention costs are yours.

7. Packing and ISPM-15

  • Plywood and other processed panel products are exempt from ISPM-15. They ship without an IPPC mark and require no fumigation.
  • Solid-wood components, including runners, battens and pallet blocks, are within scope of ISPM-15 and are heat-treated and IPPC-marked where the destination requires it. Treatment is by heat treatment, not methyl bromide, unless separately agreed in writing.

8. Inspection, claims and remedies

9. Cancellation

  • Stock-grade orders may be cancelled before production begins; the advance is refunded less any cost already incurred.
  • Made-to-order and custom-fabricated goods, including crates and pallets built to your drawing or bill of materials, cannot be cancelled once production has begun, and the advance is not refundable.

10. Warranty and limitation of liability

  • We warrant that goods conform to the grade and standard on the proforma invoice at the time risk passes. We give no other warranty beyond those that cannot lawfully be excluded.
  • We are not liable for defects arising from storage, handling, installation, exposure or use after risk has passed, or from a specification you supplied.
  • To the extent permitted by law, our total liability arising out of any order is limited to the invoice value of that order. We are not liable for loss of profit, loss of contract, delay, demurrage or any indirect or consequential loss.
  • Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

11. Force majeure

Neither party is liable for failure or delay caused by an event beyond its reasonable control, including natural disaster, flood, fire, epidemic, war, civil unrest, strike, government action, port congestion or closure, or carrier failure. Where such an event continues for more than 90 days, either party may cancel the affected order without further liability.

12. Intellectual property and confidentiality

  • Website content, photographs and specifications we produce remain our property and may not be reproduced without written permission.
  • Where you supply a drawing or bill of materials it remains yours. We will use it only to fulfil your order and will not disclose it to a third party except a subcontractor engaged on that order.

13. Governing law and disputes

  • These terms and any order are governed by the laws of India. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
  • Buyers in India. The courts at Ernakulam, Kerala have exclusive jurisdiction.
  • Buyers outside India. Any dispute shall be finally settled by arbitration by a sole arbitrator under the Arbitration and Conciliation Act 1996, administered by the Mumbai Centre for International Arbitration under its rules. If the parties have not agreed on the arbitrator within 15 days of a request to do so, the Centre appoints them. The seat and venue is Ernakulam, Kerala, India and the language is English.
  • Nothing above prevents either party from applying to a court for interim protection, including an order to secure goods or preserve evidence.
